License Agreement

Please read the below terms and conditions as it constitutes the license terms between you and Sowar on Line Images (“SOL”).

References herein to words like (”we”), (“us”) Or (“our”) is a reference to Sowar On Line L.L.C. (A company incorporated under the laws of Egypt as a limited liability Company with a chosen address of building number 2, square 1224, Masaken Sheraton, Heliopolis, Cairo, Egypt.

By using our website by downloading or uploading an image you declare having read, understood and accepted the below terms and condition.

1. All Images on our website are proprietary to their makers; thus, they are protected by local (originators’ country laws and regulations) and international copyright laws and treaties. In addition, SOL is licensed to use (for the purpose of display, promote and sublicense to potential customers of such images and content). SOL in this respect acts as an agent to the Image/content copyright owner and thus will take all necessary measures to protect the copyright ownership and any financial derivatives thereof.
   



2. SOL and/or the various artists/photographers who provide content and/or Images to SOL and reserve all rights in and to the Images not expressly granted to you by the terms of this license. Your rights to use any Image are subject to this license agreement and are conditioned upon your payment to SOL for your use of the Images. If you fail to make any payment to SOL properly, or if your credit card charges were refused or charged back, your account will be deemed delinquent and this will be considered an immediate event of termination of this License Agreement and any previous use of any Images subject of such payment shall be infringing the Intellectual Property Right of the copy right owner of the subject Image in addition to this being a cause for damage to SOL since this is a clear threat to its reputation and business.
   


3. By this Agreement, SOL grants you a personal, Exclusive OR Non-Exclusive (depending on availability and payment of the relevant price), non-transferable, right to use and reproduce Images in the following ways, subject to payment of any required price as applicable and also subject to the limitations set forth in these terms and conditions:
   
   
1. On web sites, provided that no Image is displayed at a resolution greater than 800 x 600 pixels;
   
   
2. As toolbar skins, screensavers and mobile phone "wallpaper" for your own personal, non-commercial use, not for resale, download or distribution;
   


3. As prints, posters (i.e. a hardcopy) and other reproductions for your own personal, non-commercial use and display, not for resale, download or distribution;
   


4. As a single hand painted reproduction (not as a printed reproduction) on canvas or other material to be used as decoration and not resold;
   


5. In coordination with opt-in email marketing. However, Images cannot be used in connection with unsolicited email - or linked from unsolicited email and no Image may be reproduced or used more than 50,000 times;
   


6. On letterhead and business cards, pamphlets, brochures, catalogs and on pop up and/or panel displays for use in conventions and trade shows, provided that no individual Image is reproduced more than 50,000 times in the aggregate;
   


7. In the artwork for the packaging of any product provided that the print and/ or manufacturing run does not exceed 50,000 copies in the aggregate;
   


8. Incorporated into software as a background image or splash screen, provided that the Image or any digital files containing the Image cannot be unincorporated from the software and further provided that the manufacturing or duplication run(s)of such software (including downloads of such software) does not exceed 50,000(fifty thousand) copies in the aggregate;
   


9. In multimedia presentations and incorporated into film and video for television and/or internet broadcast, and theatrical display only where the intended audience will consist of fewer than 50,000(fifty thousand) viewers;
   


10. In multimedia presentations and incorporated into film and video for distribution and/or sale in the home video market, provided that the manufacturing or duplication run (including downloads) of such home videos does not exceed 50,000(fifty thousand) copies in the aggregate;
    


11. As CD or DVD cover art and/or artwork, provided that the manufacturing or print run of such CDs or DVDs (including downloads of such artwork) does not exceed 50,000(fifty thousand) copies in the aggregate;
    


12. As part of editorial or advertising copy in magazines, newspapers, books, book covers, textbooks, editorials and directories provided that the print or manufacturing run(s) of such magazines, newspapers, books , book covers, textbooks, editorials and directories does not exceed 50,000(fifty thousand) copies in the aggregate;
    


13. In eBooks, including multi seat license electronic textbooks, provided that the number of potential seat licenses or end users is fewer than 50,000(fifty thousand) in the aggregate; and
    


14. As advertising posters for use in promoting the sale of other products (as opposed to promoting the sale of the prints, posters, etc. containing the Images), provided that such prints and/or posters and/or other reproductions combine words and an Image or Images and further provided that the print or manufacturing run(s) of such posters does not exceed 50,000(fifty thousand) copies in the aggregate.
    


4. In the event that you create a derivative work based on or incorporating one or more Images, all rights in and to such Images shall continue to be owned by SOL or its Licensors. subject to your rights to use such Image(s) pursuant to the terms and limitations set forth herein.
   


5. All other rights in the Images are expressly reserved by SOL for itself and its Licensors.
   


6. You shall not use the Images in any other way than as specified in these terms and conditions.
   


7. You shall not use or display any Image in connection with
   
   1. any service similar or competitive to SOL
   
   
   2. and/or designed to sell or induce sales of "print on demand" products using or incorporating Image(s), including, by way of example only, postcards, mugs, t-shirts, posters, wallpaper, artwork and other items;
   
   
   3. with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third party's trademark or intellectual property
   
   
   4. in a way that may be found offensive to people or political or cultural or sexual views or orientations
   
   
   5. in association or advertising for controversial products or services like tobacco, escorting, erotic or any form of adult entertainment.
   
   


8. You shall not resell, redistribute or transfer any Image except as specifically provided herein. Displaying any Image in any digital format or for any digital use at a resolution greater than 800 x 600 pixels, except in preliminary design work, will be deemed to be an attempt to redistribute the Image and could result in the termination of your rights under this agreement.
   


9. You shall not use an Image marked "Editorial Use Only" for commercial purposes. If an Image is marked, "Editorial Use Only", additional permissions may be required for commercial use which may require that SOL acts on your behalf to obtain such permissions from the copyrights owner with no guarantees that such permissions will be obtained.
   


10. You shall not
    
    1. use any Image (in whole or in part) as a trademark, service mark, logo, or other indication of origin, or as part thereof , or to otherwise endorse or imply the endorsement of any goods and/or services
    
    
    2. use or display an Image in such a manner that gives the impression that the Image was created by you or a person other than the copyright holder of that Image
    
    
    3. represent yourself as an agent, employee, designee, or affiliate of the copyright owner of any Image or of SOL for any purpose.
    
    


11. SOL shall be under no obligation to refund any monies paid by you in conjunction with licensed Images or else; should SOL, in its sole discretion, find you are entitled for any refund, it shall only be maid in the manner in which such amounts were originally paid.
    


12. You agree to indemnify and hold SOL, its officers, employees, shareholders, directors, managers, members, photographers, picture owners and suppliers, including costs incurred by any of them and/or attorney’s fees, harmless from and against any damages or liability of any kind arising from any use of the Image other than the uses expressly permitted by this Agreement.

14. This License Agreement is governed by and shall be construed in accordance with the laws of the Arab republic of Egypt. Any dispute that may arise out of or in connection with this License Agreement shall be settled through Cairo Courts. You hereby consent to the personal jurisdiction of the Cairo Courts regardless of your origin and with no regard to the conflict of jurisdictions rules.
    


15. You understand and agree that SOL provides such service with no warranty whatsoever in relation to the quality, fitness for particular purpose or any other expressed or implied warranty. You further understand and agree that your use of the website and use of the images or any download are all subject to your compliance with the fairness and goodwill rules in addition to the rule of law and the terms and conditions herein contained and you agree that any breach by you or any one you represent shall trigger SOL’s right to immediately without need for any notification, terminate your License Agreement with no refund for any monies paid in regard to such action of breach, in addition to SOL’s right to claim weather for its self or on behalf of its licensors, for any damages that SOL believes occurred by virtue of the breach by you to any of he governing rules.
    


16. You may not frame or hotlink to the SOL website or any Image without the prior written consent of SOL.
    


17. For the purposes of this License Agreement and the website you understand and agree that any trade names, trade marks, trade dress, look and feel, segmentation techniques, original technology, color patterns and domain names used in conjunction with the website by SOL is or in the process of being registered by SOL or any of its suppliers or partners. Thus, you shall not, directly or in directly, attempt to claim that any of which is or has been a property of any one other than SOL and you agree that you shall not, directly or indirectly, use or imitate any of the Intellectual Property Rights components listed above and in case you were aware of any such use, you agree to inform SOL as soon as possible to assist it to protect its rights. You further understand that all other trademarks, product names, and company names or logos used or appearing on the SOL website are the property of their respective owners and in this regard you indemnify and hold SOL harmless from and against any claim that may be brought by any of the respective owners in relation to a non authorized used by you to any of their I.P.R.
    


18. This License Agreement is entered into in relation to your use of the website on the date in which you used the website.
